Terms of Service
These Terms of Service ("Terms") govern your access to and use of Clerune, an administrative workspace application for meeting transcription, summaries, minutes, tasks, and related document generation (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms.
1. Acceptance of these Terms
By accessing or using Clerune, you confirm that you can form a binding contract, that you accept these Terms, and that you will comply with them. If you are using Clerune on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.
2. Description of the Service
Clerune helps administrative assistants, aides, secretaries, office staff, and small organizations manage meetings and related administrative work. Core functionality includes creating meetings, uploading or pasting transcripts, generating AI-assisted summaries and meeting minutes, tracking tasks and action items, drafting and exporting administrative documents, organization-wide search, and an "Ask Clerune" question-answering feature grounded in your own workspace data.
Clerune is provided on a subscription basis with a Free plan and a paid Pro plan. Features and usage limits differ between plans and are described on the pricing section of our homepage and within the application.
3. Accounts and account responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate registration information and keep it up to date. You are responsible for the conduct of anyone you invite into your organization's workspace.
Clerune supports optional two-factor authentication and account-recovery features. We encourage you to enable these protections, but you remain responsible for securing your own devices and credentials.
4. Acceptable use
You agree not to use Clerune to:
- Upload content you do not have the right to share, or that infringes another party's rights.
- Upload unlawful, defamatory, harassing, or otherwise harmful content.
- Attempt to gain unauthorized access to another organization's data or to Clerune's systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer or attempt to extract the source code of the Service, except as permitted by law.
- Use the Service to build a directly competing product without our written permission.
If you upload an audio recording for transcription, you confirm that you have the legal right and any necessary permission or consent to upload and process that recording, and that doing so complies with applicable recording, wiretapping, and consent laws in your jurisdiction and the jurisdiction of any other participant in the recording. You are solely responsible for obtaining any consent required before uploading a recording of a conversation or meeting.
We may suspend or terminate access for use that violates this section.
5. AI-generated content and accuracy limitations
Clerune uses a third-party AI provider to help generate meeting summaries, key points, decisions, action items, meeting minutes, and draft administrative documents, and to answer questions through "Ask Clerune." AI-generated content is a starting draft, not verified fact. It may be incomplete, inaccurate, or fail to capture something said in your source material.
Clerune is designed so that AI output is always editable and reviewable before it becomes part of your official record, and the AI is not intended to invent attendees, decisions, deadlines, or other factual details not present in your source material. You are responsible for reviewing AI-generated content before relying on it, sharing it, or treating it as an official record.
Audio transcription, where available, is also automated: it is generated using a third-party speech-to-text provider and, like other AI-generated content, may contain errors, omissions, or misheard words. Any speaker identification or speaker separation (diarization) it includes may be inaccurate or may not correctly distinguish between speakers. Transcripts and other AI-generated output are assistive tools, not guaranteed or authoritative records. You should review a transcript or any AI-generated content for accuracy before relying on it for official, legal, financial, employment, compliance, or other consequential purposes.
6. Subscriptions and billing
Clerune offers a Free plan at no cost and a paid Pro plan billed monthly. Current pricing is shown on our homepage. Paid subscriptions are billed and processed by Paddle.com, acting as our merchant of record — Paddle handles payment collection, taxes, and related compliance for the transaction. Clerune does not store your full payment card details.
Subscriptions renew automatically each billing period unless canceled beforehand. Usage limits (for example, on meetings, documents, or AI-assisted features) differ between the Free and Pro plans and are described in the application and on our pricing page; we may adjust these limits or pricing over time, with reasonable notice for material changes affecting active subscribers.
7. Cancellation
You may cancel your Pro subscription at any time through the Paddle-hosted customer portal, accessible from the Billing page once signed in. Cancellation stops future renewal; it does not retroactively refund amounts already charged, except as described in our Refund Policy. Your organization's plan reverts to Free at the end of the current billing period.
8. Intellectual property
Clerune and its underlying software, design, and branding are owned by us or our licensors and are protected by applicable intellectual property laws. These Terms do not grant you any rights to Clerune's trademarks, logos, or brand assets beyond what is necessary to use the Service as intended.
As between you and Clerune, you retain ownership of the content you upload or create through the Service (transcripts, meeting data, generated documents, and similar workspace content). You grant us the limited right to process that content as necessary to operate and provide the Service to you, including sending relevant portions to our AI provider to generate the outputs you request.
9. Service availability
We aim to keep Clerune available and reliable, but the Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation, and functionality (including AI-assisted features) may depend on third-party providers that are outside our control. We may perform maintenance, and features may change, be added, or be removed over time.
10. Limitation of liability
To the maximum extent permitted by applicable law, Clerune and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid to us for the Service in the twelve (12) months before the claim arose, or a reasonable minimal amount if you have not paid us anything.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
11. Termination and suspension
You may stop using Clerune at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or if we discontinue the Service, and we will make reasonable efforts to give you notice where practical. Upon termination, your right to use the Service ends, though provisions of these Terms that by their nature should survive (such as intellectual property and limitation of liability) will continue to apply.
12. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the Service or applicable law. We will update the "Last updated" date above when we do. Continued use of Clerune after changes take effect constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to provide notice.
13. Governing law and jurisdiction
Clerune is currently operated as a Philippines-based individual/sole proprietor business. These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law principles, and any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the competent courts of the Philippines, except where applicable law requires otherwise (for example, mandatory consumer-protection rules in your own country of residence).
14. Contact
Questions about these Terms can be sent through our Contact page or directly to clerune@jassiansystems.com.
